Terms of Service

1. Trader Identification

In accordance with Act No. 108/2024 Z. z. on Consumer Protection and the applicable provisions of the Slovak Civil Code (Act No. 40/1964 Coll., as amended), the operator of the NEURODONE application is:

Supervisory Authorities:

• Slovenská obchodná inšpekcia (SOI) — Inšpektorát SOI pre Bratislavský kraj, Bajkalská 21/A, P. O. BOX č. 5, 820 07 Bratislava (consumer protection).
• Okresný úrad Bratislava, odbor živnostenského podnikania (trade licensing).

2. Definitions

• "App" — the NEURODONE progressive web application at neurodone.app.
• "User" / "You" — any natural person who creates an account.
• "Consumer" — a User acting outside their trade, per § 2(a) of Act No. 108/2024 Z. z.
• "Pro Member" — a User with a paid subscription.
• "Digital Service" — as defined in § 852a of the Civil Code.
• "Smart Parse" — AI-powered voice/text parsing using third-party LLMs.
• "AI Coach" — AI conversational feature for organizing thoughts into task plans.

3. Subject Matter, Contract Conclusion, and Eligibility

These VOP govern the contractual relationship between the Trader and the User. A contract is concluded when the User completes registration and confirms acceptance of these VOP.

3.1 Technical Steps to Conclude the Contract

The contract is concluded electronically. The User selects a subscription tier, provides account details, and enters payment information through the checkout interface. Before submitting the final order, the User is presented with a summary and can review and correct any input errors.

3.2 Language and Archiving

The contract is concluded in English. The text of these VOP is saved by the Trader and accessible via the App and website.

3.3 Age Requirement

To register, you must be at least 18 years of age (or the age of legal majority in your country) and possess the legal capacity to enter into a binding contract.

3.4 Privacy Policy

Your personal data processing, including health-related data via AI features, is governed by the NEURODONE Privacy Policy.

4. Medical Device Disclaimer (EU MDR)

Although NEURODONE is designed with ADHD users in mind, it is strictly a task management application. NEURODONE:

• Does NOT qualify as a medical device under Regulation (EU) 2017/745 (MDR);
• Does NOT perform actions for medical diagnosis, prevention, monitoring, or treatment;
• Does NOT replace professional medical, psychological, or psychiatric advice;
• Is NOT intended to manage, cure, or mitigate any medical condition, including ADHD.

If you are experiencing ADHD symptoms, please consult a qualified healthcare professional.

5. Generative AI Features and Liability

5.1 Third-Party AI Disclosure

NEURODONE's Smart Parse and AI Coach utilize the Google Gemini API operated by Google LLC. User prompts are transmitted to Google's servers via secure API connection. The Trader does not develop, train, or control the underlying AI models.

5.2 AI Output Disclaimer ("Hallucination Clause")

AI-generated content may be inaccurate, incomplete, misleading, or contextually inappropriate. The AI may "hallucinate" — generating plausible but factually incorrect text. The AI output is intended solely as a productivity aid. Users must independently verify all AI-generated content before acting upon it.

5.3 Limitation of Liability for AI Output

To the maximum extent permitted by applicable law, the Trader shall not be liable for:

• Missed deadlines resulting from AI misinterpreting input;
• Financial losses arising from reliance on AI-generated task structures;
• Personal distress or emotional harm caused by AI-generated content;
• Loss or corruption of data processed by the AI;
• Any downstream consequences from acting on AI output without independent verification.

6. "Contact Ihor" Feature (Support SLA)

6.1 Scope

The "Contact Ihor" feature provides technical and account support: bug reports, feature requests, billing inquiries, and general feedback.

6.2 Availability

This channel is NOT monitored 24/7. The Trader endeavors to respond within 1–3 business days, but no specific response time is guaranteed.

7. Subscription, Billing, and Cancellation

7.1 Subscription Tiers

7.2 Payment Processing

All payments are processed by Paddle.com Market Limited, which acts as Merchant of Record and handles VAT calculation, collection, and remittance.

7.3 Auto-Renewal and Cancellation

Subscriptions auto-renew unless cancelled before the renewal date. Users can cancel anytime via account settings or through Paddle. Access continues until the end of the current billing period. No prorated refunds for partial terms.

7.4 Price Changes

Price changes apply only to subsequent billing cycles following at least 30 days' notice via email or in-app notification.

7.5 Free Trial Abuse

The 7-day free trial is limited to one per natural person. The Trader reserves the right to revoke trials, suspend accounts, and block future access if abuse is detected.

8. Right of Withdrawal

8.1 Statutory 14-Day Right

In accordance with Act No. 108/2024 Z. z., Consumers have the right to withdraw from the contract within 14 days of the subscription purchase date, without giving any reason. To withdraw, send a clear statement to welcome@neurodone.app.

8.2 Waiver for Immediate Digital Access

8.3 Refund for Unused Service

If you withdraw before accessing the service, you will receive a full refund within 14 days using the same payment method.

9. Digital Services, Updates, and Liability for Defects

9.1 Applicable Law

Liability for defects is governed by § 852h to § 852m of the Slovak Civil Code, implementing Directive (EU) 2019/770.

9.2 Conformity Requirements

The Trader warrants that the digital service conforms to these VOP, the feature descriptions, and reasonable expectations. Updates, including security updates, will be provided throughout the subscription period.

9.3 Reporting a Defect (Reklamácia)

Report defects to welcome@neurodone.app with a description, date observed, and relevant screenshots. The Trader will acknowledge within 5 business days and resolve within 30 days.

9.4 Remedies

If the service does not conform, you may request that the Trader bring it into conformity. If that fails, you may request a price reduction or terminate the contract.

9.5 Technical Requirements

NEURODONE requires a modern browser (Chrome, Safari, Firefox, Edge) and stable internet. The Trader is not liable for issues caused by your hardware, outdated software, or poor connectivity.

9.6 Modifications

The Trader may modify features over time. If a modification negatively impacts you beyond a minor way, you'll be informed in advance and may terminate free of charge within 30 days.

10. Intellectual Property and User Content

10.1 Intellectual Property

All IP in the NEURODONE App (design, code, branding, logos) is owned by the Trader. You receive a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use.

10.2 License to User Content

Your content (tasks, notes, voice inputs) remains your property. By submitting content, you grant the Trader a worldwide, non-exclusive, royalty-free license to process and transmit it solely for providing the App's services, including transmitting to Google Gemini API. This license terminates when you delete the content or your account.

11. Acceptable Use and Account Security

11.1 Acceptable Use

You agree not to: violate any law, submit illegal/abusive content through AI features, reverse engineer the App, abuse the API (50 calls/day limit), or share account credentials.

11.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and must notify us immediately of unauthorized use.

12. Account Suspension and Termination

The Trader may suspend or terminate accounts for material breach. You may terminate anytime via the App or by contacting welcome@neurodone.app. Deletion follows the Privacy Policy.

Data Retrieval: You may request export of your content in CSV or JSON format before final deletion, per § 852m of the Slovak Civil Code.

13. Limitation of Liability and Force Majeure

13.1 General Limitation

Total aggregate liability shall not exceed the amount paid in the 12 months preceding the claim. This does not apply to intentional/gross negligence, death/personal injury, or mandatory consumer protection provisions.

13.2 Force Majeure

The Trader is not liable for failures caused by ISP outages, DDoS attacks, third-party API outages (including Google Gemini), hosting downtime (Vercel/Supabase), natural disasters, war, or government restrictions.

13.3 General Disclaimer

Except as stated in Section 9, the App is provided "as-is" and "as-available" without representations regarding continuous availability or error-free operation.

14. Governing Law and Dispute Resolution

These VOP are governed by Slovak law. If you are a Consumer in another EU Member State, this does not deprive you of the protections of your country's mandatory laws.

Disputes shall be resolved by the competent Slovak courts, without prejudice to your right to bring proceedings in your country of residence.

You may also submit ADR requests to the Slovak Trade Inspection (SOI) or use the EU Online Dispute Resolution platform.

15. Amendments to These VOP

Users will be notified of material changes at least 30 days before they take effect. Continued use constitutes acceptance. You may terminate your account before the effective date if you disagree.

16. Electronic Communications

By creating an account, you consent to receive electronic communications from the Trader (email and in-app notifications). These satisfy any legal writing requirements.

17. Severability & Entire Agreement

If any provision is found invalid, the remaining provisions remain in force. These VOP, alongside the Privacy Policy and in-app consent forms, constitute the entire agreement.

18. Assignment

The Trader may assign its rights in the event of a sale, merger, or restructuring, provided Consumer guarantees are maintained. Users may not assign without prior written consent.
